Terms of Service

KaydPOS Version 1.0 Effective 2026-07-18 Last updated 2026-07-18 Operating from Somalia

The agreement between KaydPOS and the business subscribing to use the platform. KaydPOS is provided strictly on a business-to-business (B2B) basis.

Operator identity note KaydPOS is currently operated and offered under the trading name "KaydPOS" from Somalia. The formal registered legal entity name, structure, registration number and tax identifier have not yet been confirmed for publication and are not stated here to avoid publishing inaccurate information. This does not affect the validity of the commitments set out below, which apply to KaydPOS as the operator of the platform.

1. Acceptance and eligibility

KaydPOS is provided strictly on a business-to-business (B2B) basis. It is sold only to businesses for use in their commercial operations, not to individual consumers acting outside a trade or business.

By creating an account, accepting an invitation, or using KaydPOS on behalf of a business, you confirm that you are authorised by that business to accept these Terms on its behalf, and that the business agrees to be bound by them.

Public self-registration is currently disabled. New businesses are onboarded directly through WhatsApp or assisted setup with the KaydPOS team, rather than an automated sign-up form.

2. Accounts and security

The business is responsible for the accuracy of the information provided during onboarding, for maintaining the confidentiality of login credentials, and for all activity that occurs under its staff accounts. KaydPOS supports role-based permissions so a business can control what each staff member can see and do — the business is responsible for configuring these appropriately and for promptly disabling access for staff who leave.

3. Plans, billing and payment

KaydPOS currently offers three public subscription packages, billed monthly:

Each package includes specific limits (users, branches, products, cash registers) and features, described at the time of signup and on the pricing page. Some businesses that subscribed before these packages were introduced remain on a separate, previously-agreed ("legacy") plan rather than one of the packages above — see the Billing, Cancellation and Refunds page for how that works.

Manual/assisted billing — customers are onboarded and billed through WhatsApp or direct correspondence with the KaydPOS team. No automated payment gateway is currently active on the platform — invoices and payment are arranged directly between the business and the KaydPOS team, and plans renew monthly unless cancelled or changed as described in the Billing, Cancellation and Refunds page.

The business is responsible for any taxes applicable to its own use of the service. Where KaydPOS is required to collect or account for tax on the subscription fee itself, this will be reflected in the agreed price at the time of billing.

If a payment is not received when due, KaydPOS may suspend access to the account after reasonable notice, and may terminate the subscription if the overdue amount remains unpaid.

4. Cancellation and termination

A business may cancel its subscription at any time by contacting the KaydPOS team; the full procedure, what happens to access and data afterward, and refund treatment are set out in full on the Billing, Cancellation and Refunds page, which forms part of these Terms.

Either party may terminate the agreement for the other party's material breach that remains uncured after being notified, or immediately where termination is necessary to prevent harm to KaydPOS, other customers, or the platform's security. Expiry or termination of a subscription does not, by itself, result in automatic deletion of a business's existing data — see the Billing, Cancellation and Refunds page for the data export and retention approach.

5. Your data

As between KaydPOS and the business, the business retains all rights, title and interest in the data it enters into the platform — its products, customers, sales and other business records. KaydPOS does not claim ownership of this data and processes it only as described in the Data Processing Agreement.

The business is responsible for the accuracy of the data it enters, including for its own tax, financial and business-record purposes. See Section 8 below.

6. KaydPOS intellectual property

KaydPOS and its underlying software, design and branding are the property of KaydPOS (or its licensors) and are protected by intellectual property law. Subject to these Terms and payment of applicable fees, KaydPOS grants the business a limited, non-exclusive, non-transferable licence to access and use the platform for its own internal business operations for the duration of its subscription.

The business may not copy, resell, sublicense, reverse engineer, or create derivative works from the KaydPOS software, except to the extent such a restriction is not permitted by law.

7. Acceptable use

Use of KaydPOS is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference.

8. Accuracy of reports and records

KaydPOS is a tool for recording and reporting the data a business enters. KaydPOS does not provide accounting, tax or legal advice, and does not guarantee that reports, calculated taxes, stock quantities, or any other output are error-free, particularly where they depend on data entered incorrectly or incompletely by the business or its staff. The business remains responsible for verifying figures used for tax filings, financial statements, or other official purposes.

9. Third-party services

KaydPOS may link to or integrate with third-party services (for example, WhatsApp for support communication). KaydPOS is not responsible for the availability, content, or practices of third-party services, which are governed by their own terms.

The business is responsible for having a suitable internet connection and compatible device to access KaydPOS, which is a cloud-hosted, browser-based platform.

10. Support and service changes

Support is provided as described on the Service Level & Support page. KaydPOS may make reasonable changes to the platform's features from time to time; we'll aim to communicate material changes that affect how a business uses the platform.

11. Confidentiality

Each party will keep the other's confidential information private and use it only as needed to perform this agreement, except where disclosure is required by law.

12. Warranties and disclaimers

KaydPOS is provided on an "as available" basis. Except as expressly stated in these Terms, KaydPOS does not warrant that the service will be uninterrupted, error-free, or completely secure — no software or hosted service can honestly promise that. To the extent permitted by law, KaydPOS disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data, arising out of or related to this agreement. Each party's total liability arising out of this agreement is limited to the amount actually paid by the business for the service in the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply to liability that cannot lawfully be excluded or limited, such as liability for fraud or for death or personal injury caused by negligence.

14. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including internet or power outages, acts of government, natural disasters, or failures of third-party infrastructure providers.

15. General terms

Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to active businesses through the platform, email, or WhatsApp, with a reasonable opportunity to review before they take effect.

Governing law and disputes

These Terms are governed by the laws applicable in Somalia, KaydPOS's primary operating location, to the extent legally appropriate, without regard to conflict-of-law principles. Disputes will first be attempted to be resolved informally by contacting KaydPOS directly. This clause does not override any dispute-resolution or consumer-protection right that cannot lawfully be excluded under a law that otherwise applies to a particular business.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

Entire agreement

These Terms, together with the Data Processing Agreement, Acceptable Use Policy, and Billing, Cancellation & Refunds page, form the entire agreement between the business and KaydPOS regarding the service, superseding any prior discussions.
